About the role

Company overview:

Model ML is building AI interface for financial services. You will work alongside two well-known founders who successfully sold their last two YC-backed companies. Model ML, also backed by Y Combinator and top-tier venture firms, has already raised double-figure millions in stealth mode to automate specific workflows within finance using AI. The company is live and in production with some of the world's largest firms and is scaling fast globally.

Position Summary:

The Head of Legal is responsible for overseeing all legal aspects of the company, ensuring that all operations and business transactions are compliant with relevant laws and regulations. This role is particularly complex as we sell to highly regulated financial institutions, requiring a deep understanding of the intricate legal landscape within the finance and tech sectors. The Head of Legal will navigate the complexities of compliance, regulatory standards, and risk management, providing strategic legal guidance to support the company’s rapid growth. This position demands exceptional leadership and the ability to handle high-pressure situations, making critical decisions that safeguard the company's interests. The Head of Legal will play a pivotal role in shaping the company’s legal framework, ensuring robust legal processes, and fostering a culture of compliance across the entire organisation.

Role Overview:

Contract Negotiations & Document Management

  • Oversee the drafting, review, and negotiation of various contracts, including Terms of Service, NDAs, and other commercial agreements.
  • Ensure compliance with applicable laws and internal policies.
  • Create and implement a contract management system to track contract status and obligations.
  • Maintain organized records of all legal company-related documents.

Corporate Governance, Financing Events & Due Diligence

  • Manage and maintain general corporate documents such as stock options, funding round documents, and investment agreements.
  • Handle all legal aspects of financing events, including Series A, B, and subsequent funding rounds.
  • Review and negotiate investment agreements, term sheets, and related documents.
  • Work with external legal counsel where required.
  • Handle due diligence requests from potential investors and customers ensuring timely and thorough responses.

Visa, Immigration, Employment Law and HR Support

  • Handle visa and immigration work to support the company’s international employees.
  • Ensure compliance with immigration laws and regulations.
  • Assist HR with immigration-related documentation and processes.
  • Advise on employment law matters, including hiring, terminations, employee relations, and compliance with labor laws.
  • Draft and review employment contracts and company employment-related policies.

Security, Compliance, Privacy, and Data Processing

  • Develop, maintain, and implement policies to ensure robust security, compliance, and privacy measures.
  • Integrate these policies into the company’s Data Processing Agreement (DPA) and other related documentation used when contracting with customers.
  • Oversee and manage data processing activities to ensure they meet regulatory standards and are well-documented within the security, compliance, and privacy framework.
  • Provide legal guidance on cybersecurity issues, ensuring the company’s cybersecurity practices comply with relevant laws and regulations.

Requirements:

  • Minimum of 5 years' experience working for a tier 1 law firm.
  • Strong academic background is essential.
  • Willing to work very hard.
